Mr. Tuo Tuo is Partner and member of the Dispute Resolution team in Dentons’ Beijing office. Mr. Tuo has more than 15 years of extensive experiences in dispute resolution, merger & acquisition, foreign direct investment, outbound investment and corporate matters.
Mr. Tuo has represented many large and medium-sized Chinese enterprises in their domestic and out-bound mergers & acquisitions, corporate restructuring and other investment projects by providing legal services including but not limited to due diligence, project planning, documents drafting, project negotiations etc.
He has extensive expertise and experience in representing foreign companies and entrepreneurs in their investment projects in China, such as setting up joint ventures or wholly owned subsidiaries, and merger & acquisition of Chinese companies or assets; his service covers the whole life cycle of foreign investment projects in China, from initial investment planning and due diligence to the drafting of documentation, participation of project negotiations, assistance in the governmental approval process, and liquidation and dissolution of foreign invested enterprises.
Mr. Tuo has been acting as long-term external legal counsel for many domestic-funded companies to provide comprehensive legal advices to their businesses and operations in China, including but not limited to participation in project negotiations, preparation of legal documentation, review of various types of commercial contracts/agreements, coordination in local government-related matters, advice in labor and social benefit matters, and so on.
Mr. Tuo has also acted as counsel in many civil litigations and arbitrations, and has provided legal services to the principals, such as case analysis, legal documents drafting and participation in the trial.
